What a confirmation statement is

The confirmation statement (form CS01, which replaced the old annual return in 2016) is your annual declaration to Companies House that the information held about your company on the public register is correct. It covers your registered office and registered email address, directors and secretary, people with significant control (PSCs), shareholders and share capital, and your SIC codes (what the company does). Since 2024 it also includes a statement that the company’s intended future activities are lawful.

Deadlines and fees

  • Review period: 12 months from incorporation or from your last confirmation statement
  • Filing window: within 14 days of the review period ending
  • Companies House fee: £34 online (£62 paper), once per 12-month payment period

Missing the deadline has no automatic fine — but it is an offence, and an overdue statement is the most common trigger for Companies House starting compulsory strike-off, which can end with the company dissolved and its assets passing to the Crown. If you’ve had a strike-off warning letter, act quickly — filing the outstanding statement usually stops the process.

Directors also now have identity verification duties with Companies House under the Economic Crime and Corporate Transparency Act — new directors must verify their identity, and existing directors verify in connection with the company’s confirmation statement during the transition period.
